1. Acceptance of Homeowner Terms
These Homeowner Terms constitute an agreement between [INSERT LEGAL BUSINESS NAME], doing business as TradeProList (“TradeProList,” “we,” “us,” or “our”), and the homeowner, property representative, or project customer accepting these terms (“Homeowner,” “Customer,” “you,” or “your”).
You confirm that you have read, understood, and agreed to these Homeowner Terms before submitting or pursuing a project through TradeProList.
If you use TradeProList on behalf of another person, property owner, landlord, company, homeowners’ association, or other organization, you represent that you have authority to act on its behalf.
3. Eligibility and Authority
You must be at least 18 years old and legally capable of entering into a binding agreement to use homeowner features.
You represent that:
- You are authorized to provide the submitted contact information.
- You are legally authorized to request work at the identified property.
- The project is genuine and submitted in good faith.
- Your use of TradeProList does not violate another agreement or legal obligation.
- You will not use the Platform for fraudulent, unlawful, or dangerous purposes.
4. TradeProList’s Role
TradeProList provides a technology platform intended to help homeowners organize project information and connect with independent contractors.
Independent contractors are not employees, agents, representatives, partners, or franchisees of TradeProList.
5. Project Submissions
A project submission is a request for assistance locating a potential independent contractor. It is not:
- A binding construction or service contract.
- A guaranteed appointment or estimate.
- A promise that a contractor is available.
- A purchase order or authorization to begin work.
- An emergency-service request.
- A guarantee that the project can be performed within a stated budget or schedule.
TradeProList may review, categorize, clarify, pause, decline, close, or remove a project request based on completeness, service coverage, contractor availability, safety concerns, suspected misuse, or other legitimate operational reasons.
Submission does not require you to hire a contractor.
6. Accurate and Complete Information
You agree to provide information that is accurate, reasonably complete, and not misleading.
Project information may include:
- Your name, email address, and telephone number.
- The property address, ZIP code, or service location.
- The type of service requested.
- Known property, equipment, or system conditions.
- Budget, timing, access, and scheduling preferences.
- Photos, videos, documents, measurements, or descriptions.
- Known hazards, damage, prior work, or unresolved issues.
You agree to promptly correct material information that becomes inaccurate or notify TradeProList when the project is no longer needed.
TradeProList and contractors may rely on submitted information for preliminary evaluation, but a contractor must independently evaluate the project before performing work.
7. Property Ownership and Authorization
You represent that you are the property owner or have sufficient authority to request contractor services at the identified location.
You are responsible for obtaining permission when required from:
- The property owner or co-owner.
- A landlord or property manager.
- A condominium or homeowners’ association.
- A commercial tenant or building owner.
- A lender, insurer, governmental agency, or other interested party.
TradeProList does not verify ownership or authority for every project and is not responsible for disputes concerning permission to request or perform work.
8. Contractor Matching
TradeProList may consider factors such as:
- Project type and requested trade.
- Property location and contractor service area.
- Contractor availability and capacity.
- Licensing, insurance, profile, and account status.
- Project budget, timing, complexity, and stated preferences.
- Contractor experience, responsiveness, and project preferences.
- Network capacity and operational considerations.
Matching may be automated, manual, or a combination of both.
TradeProList may initially offer a project to one contractor at a time. If that contractor declines, does not respond, becomes unavailable, or does not proceed, the project may be considered for another contractor.
9. Contractor Contact
By submitting a project, you authorize TradeProList to provide relevant project and contact information to a potential or selected contractor.
The contractor may contact you by:
- Telephone call.
- Text message.
- Email.
- Voicemail.
- Another communication method you provide or request.
Contractor communications are made by the independent contractor, not by TradeProList, unless clearly identified otherwise.
You may tell a contractor that you are no longer interested or ask the contractor to stop project-related contact.
10. Homeowner Due Diligence
You are responsible for deciding whether an independent contractor is appropriate for your property and project.
Before hiring a contractor, you should independently consider:
TradeProList may review or display contractor information, but such information may change, expire, become inaccurate, or be incomplete.
11. Estimates, Proposals, and Work Agreements
Any estimate, proposal, scope of work, service contract, financing agreement, change order, invoice, or warranty is between you and the independent contractor.
Before authorizing work, you should review:
- The contractor’s complete legal or business name.
- The exact scope of work and excluded work.
- Materials, equipment, brands, models, and specifications.
- Price, allowances, taxes, fees, and possible additional charges.
- Deposit amount and payment schedule.
- Estimated start and completion dates.
- Permit and inspection responsibilities.
- Change-order procedures.
- Cleanup, disposal, repair, and restoration obligations.
- Warranty terms and service-call policies.
- Cancellation and refund provisions.
TradeProList is not a party to the agreement unless expressly identified and signed as a party in a separate written contract.
12. Deposits, Payments, and Financing
Unless a specific TradeProList payment feature expressly states otherwise, all contractor charges, deposits, invoices, financing arrangements, and refunds are handled directly between you and the independent contractor.
You are responsible for reviewing payment terms before making a payment.
TradeProList does not guarantee:
- That a contractor will refund a deposit.
- That financing will be approved.
- That final costs will equal preliminary estimates.
- That change orders or additional work will not increase the price.
- That payments made outside the Platform can be recovered.
13. Property Access and Site Safety
When scheduling an inspection, estimate, or service visit, you agree to provide lawful and reasonably safe access to the relevant areas of the property.
You should inform the contractor of known conditions including:
- Animals or access restrictions.
- Locked areas, gates, alarms, or occupied units.
- Electrical, gas, water, structural, fire, mold, asbestos, or environmental hazards.
- Damaged equipment, exposed wiring, flooding, unstable surfaces, or unsafe conditions.
- Children, elderly occupants, tenants, or persons requiring special consideration.
- Parking, loading, elevator, association, or community restrictions.
Contractors may refuse or stop work when they determine that conditions are unsafe, unlawful, inaccessible, or materially different from the information provided.
14. Permits, Inspections, and Approvals
Permit and inspection requirements vary by location and project type.
You and the contractor are responsible for clearly establishing who will:
- Determine whether permits are required.
- Prepare or obtain plans and supporting documents.
- Apply for and pay for permits.
- Schedule inspections.
- Correct inspection issues.
- Obtain final approval or closure.
- Secure association, landlord, utility, or other approvals.
TradeProList does not obtain permits, approve designs, interpret building codes, or guarantee inspection results.
15. Project Status and Tracking
TradeProList may provide project status information such as:
- Project submitted.
- Under review.
- Contractor matching.
- Contractor contact.
- Closed, cancelled, declined, or expired.
Status labels are administrative indicators of the TradeProList matching process. They are not guarantees that work has started, been completed, passed inspection, been paid, or satisfied any contractor agreement.
You are responsible for confirming scheduling, progress, completion, and payment directly with the contractor.
16. Electronic Communications
You agree that TradeProList may send service-related communications concerning:
- Project submission and confirmation.
- Project review and status.
- Contractor matching and contractor contact.
- Requests for clarification or additional information.
- Account registration and security.
- Password resets and authentication.
- Customer support and complaints.
- Changes to services, policies, or terms.
Communications may be delivered by email, telephone, text message, voicemail, account notification, or another method you provide. Message and data rates may apply.
Marketing communications will be sent only where permitted by law. Marketing consent is not a condition of receiving contractor services.
You may unsubscribe from promotional email messages using the link provided. Transactional, safety, account, and project-related messages may continue.
17. Project Photos, Documents, and User Content
“User Content” includes project descriptions, photographs, videos, documents, measurements, messages, reviews, and other materials you submit through TradeProList.
You retain ownership of your User Content. By submitting it, you grant TradeProList a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, transmit, and share the content as reasonably necessary to:
- Review and process your project.
- Evaluate contractor matching.
- Provide information to a potential or selected contractor.
- Maintain project and support records.
- Investigate complaints, misuse, or legal claims.
- Operate, secure, and improve the Platform.
You represent that you own the content or have permission to submit it.
Do not submit content containing sensitive personal, financial, medical, or identity information unless specifically requested through an appropriate secure process.
TradeProList will not intentionally use private project photographs containing identifiable personal or property information in public advertising without additional permission, unless the content has been lawfully deidentified.
18. Reviews, Feedback, and Complaints
You may provide honest feedback, ratings, reviews, or complaints based on your genuine experience.
Reviews and feedback must not include:
- Knowingly false or fabricated statements.
- Threats, harassment, discrimination, or unlawful content.
- Private financial, medical, identity, or account information.
- Content unrelated to your actual experience.
- Spam, unrelated advertising, or undisclosed paid endorsements.
- Content that violates another person’s privacy or intellectual-property rights.
TradeProList may review, investigate, decline to publish, redact, or remove content that violates these Terms or applicable law.
TradeProList is not required to resolve every factual disagreement between a homeowner and contractor.
19. Privacy and Sharing of Project Information
TradeProList collects, uses, retains, and shares personal information as described in the Privacy Policy.
By submitting a project, you authorize TradeProList to provide relevant information to a contractor for purposes of evaluating, contacting, estimating, and potentially performing the project.
Information shared may include:
- Your name and contact information.
- The service address or general project location.
- Project descriptions, timing, and budget information.
- Photos, videos, documents, and other submitted materials.
- Communication preferences and project-status information.
Contractors operate independently and may maintain their own business records under their own privacy practices and legal obligations.
20. Prohibited Homeowner Conduct
21. Emergencies and Immediate Hazards
In an emergency:
- Move away from the danger.
- Call 911 or the appropriate emergency authority.
- Contact the utility provider when appropriate.
- Do not touch exposed wiring, energized equipment, or downed power lines.
- Do not enter an unsafe property or area.
TradeProList does not guarantee immediate review, contractor availability, emergency response, or dispatch.
22. Disputes With Independent Contractors
Disputes concerning a contractor’s estimate, deposit, contract, schedule, payment, lien, workmanship, warranty, permit, inspection, employee, subcontractor, injury, property damage, or project performance are generally between you and that contractor.
TradeProList may:
- Receive and document a complaint.
- Request information from the contractor or homeowner.
- Review communications or project records.
- Take administrative action concerning Platform access.
- Provide general contact or referral information.
TradeProList is not required to mediate, arbitrate, reimburse, repair, enforce a warranty, collect money, reverse a payment, or determine legal responsibility.
Nothing prevents you from contacting an insurer, licensing authority, building department, consumer protection agency, attorney, law-enforcement agency, or court when appropriate.
23. Platform Disclaimers
To the fullest extent permitted by law, the TradeProList Platform and contractor-matching services are provided on an “as is” and “as available” basis without warranties of any kind.
TradeProList does not guarantee:
- That your project will receive a contractor match.
- That a contractor will respond, remain available, or provide an estimate.
- The accuracy of information supplied by a contractor or other third party.
- The contractor’s current licensing, insurance, character, financial condition, pricing, safety, or workmanship.
- That an estimate will equal the final project cost.
- That a project will begin or finish on a particular date.
- That work will satisfy your expectations, contract, code, permit, or inspection requirements.
- That every Platform feature will be uninterrupted, secure, or error-free.
Some jurisdictions do not allow certain warranty exclusions. These disclaimers apply only to the extent permitted by applicable law.
24. Limitation of Liability
To the fullest extent permitted by law, TradeProList and its owners, officers, employees, affiliates, licensors, service providers, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the Platform, a contractor connection, or contractor services.
This includes claims involving:
- Lost time, income, savings, data, or opportunity.
- Property damage or personal injury caused by an independent contractor.
- Defective, delayed, incomplete, abandoned, or noncompliant work.
- Deposits, payments, refunds, financing, liens, or collection disputes.
- Permits, inspections, warranties, code violations, or project delays.
- Acts or omissions of contractors, employees, subcontractors, suppliers, or other third parties.
To the fullest extent permitted by law, TradeProList’s total aggregate liability arising from or related to your use of homeowner services will not exceed the greater of:
- The amount you paid directly to TradeProList during the 12 months preceding the event giving rise to the claim; or
- One hundred dollars ($100).
These limitations do not apply to liability that cannot lawfully be excluded or limited.
25. Homeowner Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless TradeProList and its owners, officers, employees, affiliates, licensors, service providers, and representatives from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from or related to:
- Your violation of these Homeowner Terms.
- Your misuse of the Platform.
- False, misleading, or unauthorized project information.
- Your lack of authority to request work at the property.
- Your User Content or violation of another person’s rights.
- Unsafe property conditions you knew about and failed to disclose.
- Your violation of applicable law.
TradeProList may control the defense of a covered claim, and you agree to provide reasonable cooperation. You may not settle a claim imposing liability or obligations on TradeProList without written consent.
26. Project Closure, Suspension, and Termination
TradeProList may pause, close, remove, suspend, or terminate a project or homeowner account when reasonably necessary to:
- Enforce these Terms or another Platform policy.
- Address suspected fraud, misuse, harassment, or unlawful conduct.
- Protect contractors, homeowners, TradeProList, or the public.
- Respond to safety, security, privacy, or legal concerns.
- Address duplicate, expired, inactive, or inaccurate projects.
- Comply with legal or regulatory obligations.
- Discontinue or modify a Platform feature.
You may request cancellation or closure of a project by contacting TradeProList.
Project closure does not cancel or modify a separate contract you entered into with an independent contractor.
27. Dispute Resolution and Governing Law
Informal dispute notice
Before filing a legal claim against TradeProList, you agree to send written notice describing the dispute, relevant project or account information, the requested resolution, and your contact information.
You and TradeProList agree to make a good-faith effort to resolve the dispute informally for at least 30 days after receipt of the notice.
Governing law
These Homeowner Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, except where applicable law requires otherwise.
Venue
Unless applicable law requires otherwise, legal actions involving TradeProList must be filed in a state or federal court having jurisdiction in Lee County, Florida, and the parties consent to the jurisdiction of those courts.
28. Changes to Homeowner Terms
TradeProList may update these Homeowner Terms as the Platform, matching process, service areas, communications, technology, or legal requirements evolve.
Updated Terms will be posted with a revised “Last Updated” date. Material changes may also be communicated by email, account notice, website banner, or another reasonable method.
Updated Terms apply prospectively from their effective date. Continuing to use homeowner services after updated Terms take effect constitutes acceptance to the extent permitted by law.
29. General Provisions
Entire agreement
These Homeowner Terms, the general Terms of Service, Privacy Policy, and any additional terms incorporated by reference constitute the agreement governing your use of homeowner Platform features.
Separate contractor agreement
Your agreement with an independent contractor is separate from your agreement with TradeProList.
Severability
If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective.
No waiver
Failure to enforce a provision does not waive the right to enforce it later.
Assignment
You may not assign your account or rights under these Homeowner Terms without TradeProList’s written consent.
TradeProList may assign these Terms in connection with a merger, acquisition, financing, reorganization, asset transfer, or business succession.
Force majeure
TradeProList is not responsible for delays or failures caused by circumstances beyond its reasonable control, including hurricanes, severe weather, natural disasters, utility failures, internet outages, cyberattacks, governmental actions, public emergencies, labor disputes, or third-party service failures.
Survival
Provisions concerning privacy, User Content, intellectual property, disclaimers, liability, indemnification, disputes, and provisions that logically should survive will remain effective after project or account closure.
