Contractor Terms and Conditions

These Contractor Terms govern contractor applications, accounts, project opportunities, customer communications, subscription features, and participation in the TradeProList contractor network.

By applying to join TradeProList, creating a contractor account, checking an acceptance box, purchasing a contractor plan, accepting a project opportunity, or otherwise using contractor features, you agree to these Contractor Terms, the general Terms of Service, and the Privacy Policy.

1. Acceptance of Contractor Terms

These Contractor Terms constitute an agreement between [INSERT LEGAL BUSINESS NAME], doing business as TradeProList (“TradeProList,” “we,” “us,” or “our”), and the contractor, company, or business accepting these terms (“Contractor,” “you,” or “your”).

You confirm that you have read, understood, and agreed to these Contractor Terms before using the contractor portal or receiving project opportunities.

If you accept these terms for a company or other business entity, you represent that you are authorized to bind that entity.

2. Relationship to Other Agreements

These Contractor Terms supplement the general TradeProList Terms of Service and Privacy Policy.

If these Contractor Terms conflict with the general Terms of Service, these Contractor Terms control with respect to contractor accounts, project opportunities, and contractor participation.

A separate written subscription, advertising, project, payment, or enterprise agreement may contain additional terms. That agreement controls only to the extent it expressly addresses the conflicting subject.

3. Eligibility and Business Authority

To participate as a contractor, you represent and warrant that:

  • You are at least 18 years old.
  • You are authorized to operate the contractor business identified in your account.
  • Your business is active and in good standing where required.
  • You are legally authorized to advertise, estimate, contract for, and perform the services listed in your profile.
  • You are not prohibited from performing the applicable work by a licensing authority, court, insurer, or governmental agency.
  • Your participation does not violate another agreement or legal obligation.

TradeProList may refuse an application or restrict participation based on service-area capacity, business requirements, verification results, safety concerns, complaints, or other legitimate platform considerations.

4. TradeProList’s Role

TradeProList provides a technology platform designed to help customers submit project requests and connect with independent contractors.

Project Collection Customers submit project descriptions, locations, timing, budgets, and other relevant information.

Project Review TradeProList may review and organize the request before offering it to a contractor.

Contractor Matching TradeProList may identify a contractor whose profile appears reasonably aligned with the request.

Direct Relationship The contractor communicates with the customer and independently evaluates whether to offer services.
TradeProList is not the contractor. TradeProList does not perform, supervise, direct, guarantee, inspect, approve, or warranty the Contractor’s work.

5. Independent Business Relationship

Contractor participates as an independent business and not as an employee, worker, agent, partner, franchisee, joint venturer, representative, or legal representative of TradeProList.

Contractor independently controls:

  • Whether to review, accept, decline, or pursue an opportunity.
  • Work methods, sequencing, supervision, and staffing.
  • Pricing, estimates, deposits, invoices, and payment schedules.
  • Tools, equipment, vehicles, uniforms, and materials.
  • Work hours, routes, availability, and scheduling.
  • Employees, subcontractors, suppliers, and vendors.
  • Taxes, payroll, benefits, insurance, and business expenses.
  • Permits, inspections, code compliance, safety, and warranties.

Nothing in these Contractor Terms creates an employment relationship or entitles Contractor to wages, overtime, benefits, reimbursement, workers’ compensation coverage, unemployment benefits, or other employment-related rights from TradeProList.

6. Contractor Application and Profile Information

Contractor agrees to provide complete, accurate, and current information, including:

  • Legal business name and any authorized trade names.
  • Business address, phone number, email, and website.
  • Ownership and authorized representative information.
  • License numbers, classifications, expiration dates, and qualifying-agent information.
  • Insurance policies, coverage dates, and certificates.
  • Trade categories, service areas, project preferences, capacity, and availability.
  • Relevant business history, experience, certifications, and references.

Contractor must promptly update information that becomes inaccurate, expired, suspended, cancelled, or materially incomplete.

TradeProList may request supporting documentation and may contact licensing agencies, insurers, references, verification providers, or public databases to evaluate application information.

No guaranteed approval Submission of an application does not guarantee approval, account activation, exclusivity, project volume, or continued participation.

7. Licensing, Insurance, and Legal Compliance

Contractor is solely responsible for determining and maintaining every license, registration, certification, permit, insurance policy, bond, and legal authorization required for its business and services.

Contractor agrees to:

  • Operate only within the lawful scope of its licenses and qualifications.
  • Ensure that the business entity is properly qualified where required.
  • Maintain active general-liability insurance in commercially reasonable amounts.
  • Maintain workers’ compensation coverage or a lawful exemption where applicable.
  • Maintain commercial automobile, professional, specialty, or other insurance where appropriate.
  • Provide current certificates, endorsements, declarations, or verification records when requested.
  • Immediately notify TradeProList of cancellation, lapse, suspension, restriction, discipline, or material claim activity.

TradeProList may pause or terminate Contractor’s access when required licensing, insurance, or qualification information cannot be verified.

Any “verified,” “approved,” “screened,” or similar platform designation reflects a limited review at a particular time and is not a guarantee of continued licensing, insurance, legality, character, financial condition, safety, or workmanship.

8. Project Opportunities

TradeProList may offer Contractor the opportunity to review customer project information based on factors such as trade category, location, service area, availability, project preferences, licensing, insurance, capacity, and account status.

A project opportunity is not:

  • A guaranteed customer or sale.
  • A binding work order or subcontract.
  • A guarantee that the customer will respond.
  • A guarantee that the information supplied by the customer is complete or accurate.
  • A promise that the project will fit Contractor’s pricing, schedule, or qualifications.
  • A representation that the property is safe or ready for work.

Contractor must independently evaluate the scope, site, customer, access, safety conditions, code requirements, materials, labor, scheduling, and commercial suitability.

TradeProList may offer a project to one contractor at a time, but may offer it to another contractor if the first contractor declines, does not respond, becomes unavailable, or does not proceed.

9. Accepting or Declining Projects

Contractor should accept an opportunity only when it reasonably believes that it:

  • Provides the requested service.
  • Serves the project location.
  • Has the required licensing, insurance, personnel, equipment, and experience.
  • Has reasonable capacity to contact the customer and evaluate the request.
  • Can communicate professionally and respond within the stated timeframe.

Contractor may decline an opportunity without being required to provide services. However, repeated nonresponse, inaccurate availability settings, or acceptance without reasonable follow-through may affect future matching eligibility.

Accepting a project opportunity does not create a service contract between Contractor and the customer. A separate agreement must be formed directly between them.

10. Customer Contact and Professional Conduct

Contractor may use customer contact information only for legitimate communication concerning the specific project and related customer-service matters.

Contractor agrees to:

  • Identify the business accurately during initial contact.
  • Explain that the connection originated through TradeProList.
  • Communicate during reasonable hours.
  • Respect customer communication preferences and opt-out requests.
  • Avoid harassment, repeated unwanted contact, threats, pressure, or deceptive statements.
  • Stop project-related solicitation when the customer states the work is no longer needed or asks not to be contacted.
  • Protect the customer’s personal and property information.

Customer information may not be sold, traded, published, transferred to an unrelated company, or used to advertise unrelated products or services without lawful permission.

11. Estimates, Contracts, Deposits, and Payments

Contractor is solely responsible for every estimate, proposal, contract, invoice, deposit, payment schedule, financing arrangement, change order, warranty, and collection activity.

Contractor must provide legally required notices and disclosures and should clearly state:

  • The complete scope of work.
  • Excluded work and assumptions.
  • Materials, equipment, brands, and specifications.
  • Price, allowances, taxes, fees, and payment schedule.
  • Deposit and cancellation terms.
  • Estimated scheduling and completion information.
  • Permit and inspection responsibilities.
  • Change-order procedures.
  • Warranty and callback terms.
  • Cleanup, disposal, access, and restoration obligations.

TradeProList is not a party to the Contractor’s agreement with the customer and is not responsible for enforcing, collecting, refunding, supervising, or guaranteeing payments.

12. Workmanship, Permits, Safety, and Compliance

Contractor is solely responsible for performing all work lawfully, safely, competently, and according to applicable contracts and professional standards.

Contractor is responsible for:

  • Site evaluation and hazard identification.
  • Permits, notices, plans, approvals, and inspections.
  • Building, electrical, mechanical, plumbing, fire, accessibility, environmental, and safety requirements.
  • Utility coordination, shutdowns, lockout procedures, and protection of occupied property.
  • Qualified supervision and proper use of tools and equipment.
  • Protection of customers, occupants, employees, subcontractors, and the public.
  • Property protection, cleanup, debris disposal, and damage prevention.
  • Correction of defective or incomplete work.
  • Compliance with warranties and contractual obligations.
Emergency and hazardous conditions Contractor must not rely on TradeProList to evaluate, dispatch, manage, or supervise emergency conditions. The Contractor is responsible for determining whether a site or project can be safely evaluated or performed.

13. Employees, Subcontractors, and Suppliers

Contractor is solely responsible for selecting, supervising, compensating, training, and controlling its employees, subcontractors, suppliers, and other personnel.

Contractor must ensure that all personnel:

  • Are legally authorized and appropriately qualified for their assigned work.
  • Are covered by required insurance or lawful exemptions.
  • Follow applicable safety and employment requirements.
  • Protect customer information and property.
  • Behave professionally while representing Contractor.

Contractor remains responsible for acts, omissions, work, billing, safety, and conduct of its personnel and subcontractors.

14. Platform Fees and Contractor Subscriptions

TradeProList may offer contractor subscriptions, memberships, project-access plans, advertising, promotional placement, account tools, or other paid features.

Pricing, billing frequency, included features, renewal terms, cancellation procedures, and any refund terms will be displayed at purchase or included in a separate agreement.

By purchasing a paid feature, Contractor authorizes TradeProList and its payment processor to charge the selected payment method according to the disclosed billing terms.

Recurring plans may renew automatically until cancelled in accordance with the cancellation instructions provided at purchase or within the contractor portal.

Unless otherwise stated or required by law, amounts paid for a billing period, activated account feature, or delivered project opportunity are nonrefundable.

TradeProList may change future pricing or plan features after providing reasonable notice. Changes will not retroactively alter amounts already paid.

15. Project Information and Confidentiality

Customer and project information provided through TradeProList is confidential and may be used only for:

  • Evaluating the offered project.
  • Contacting the customer about that project.
  • Preparing an estimate or service agreement.
  • Performing and documenting authorized work.
  • Complying with legal, insurance, accounting, warranty, or recordkeeping obligations.

Contractor must maintain reasonable administrative, physical, and technical safeguards for customer information.

Contractor must notify TradeProList promptly if customer information obtained through the Platform is lost, accessed without authorization, improperly disclosed, or otherwise compromised.

Contractor may not scrape, compile, resell, distribute, publish, or create an unrelated marketing database using TradeProList information.

16. Electronic Communications and Acceptance

Contractor agrees that TradeProList may provide applications, project opportunities, notices, agreements, invoices, billing information, policy updates, security alerts, and other records electronically.

Electronic acceptance may include:

  • Checking an agreement box.
  • Clicking an acceptance or submission button.
  • Creating or using a contractor account.
  • Accepting a project opportunity.
  • Purchasing a paid contractor feature.
  • Continuing to use contractor services after receiving updated terms.

Contractor is responsible for maintaining a valid email address and reviewing account notices.

17. Reviews, Feedback, and Complaints

TradeProList may collect customer feedback, reviews, complaints, project outcomes, communication records, and contractor responses.

TradeProList may use this information for quality control, customer support, matching eligibility, investigations, platform safety, and account administration.

Contractor may submit a professional response or supporting documentation when appropriate. TradeProList is not required to determine every disputed fact or remove every unfavorable review.

Contractor may not retaliate against, threaten, harass, or improperly pressure a customer for submitting honest feedback or a complaint.

18. Prohibited Contractor Conduct

× Providing false licensing, insurance, ownership, experience, or business information.
× Accepting work outside the lawful scope of the Contractor’s qualifications.
× Selling, sharing, reselling, or redistributing customer leads or project information.
× Submitting fake projects, accounts, reviews, documents, or verification materials.
× Using deceptive pricing, bait-and-switch tactics, false urgency, or misleading claims.
× Harassing customers or continuing unwanted communication.
× Representing that TradeProList employs, guarantees, licenses, supervises, or insures Contractor.
× Using customer information for unrelated solicitation or unauthorized marketing.
× Accessing another contractor’s account or attempting to bypass platform security.
× Uploading malware, scraping data, interfering with the Platform, or abusing technical systems.
× Discriminating unlawfully or refusing service for a prohibited reason.
× Avoiding properly disclosed Platform fees through fraud, duplicate accounts, or account manipulation.

19. Complaints, Verification, and Investigations

TradeProList may investigate complaints, safety concerns, licensing issues, insurance issues, fraud, payment disputes, account misuse, customer communications, and possible violations of these Contractor Terms.

Contractor agrees to provide reasonable cooperation, including relevant:

  • Licenses and insurance documentation.
  • Estimates, contracts, invoices, change orders, and payment records.
  • Customer communications and project records.
  • Permit, inspection, warranty, and completion information.
  • Responses to specific allegations or safety concerns.

TradeProList may temporarily restrict project access while reviewing a serious complaint or qualification concern.

TradeProList’s investigation is for platform administration and does not replace a court, licensing authority, insurer, law-enforcement agency, building department, or other governmental process.

20. Suspension and Termination

TradeProList may restrict, suspend, deactivate, or terminate a contractor account when reasonably necessary to:

  • Enforce these Contractor Terms or another agreement.
  • Protect customers, contractors, TradeProList, or the public.
  • Investigate fraud, abuse, safety, privacy, or legal concerns.
  • Address expired, suspended, cancelled, or unverifiable qualifications.
  • Respond to serious or repeated customer complaints.
  • Address nonpayment or misuse of paid features.
  • Protect Platform security or technical operations.
  • Comply with legal or regulatory obligations.

Immediate action may be taken without advance notice when TradeProList reasonably believes there is a safety, security, fraud, privacy, legal, or consumer-protection concern.

Contractor may stop using the Platform or request account closure at any time, subject to outstanding payment, customer, warranty, confidentiality, and legal obligations.

21. Records and Continuing Cooperation

Contractor is responsible for maintaining records required by law, contract, insurance policy, licensing authority, tax authority, or normal business practice.

Contractor should maintain project records reasonably sufficient to document:

  • Customer authorization and scope of work.
  • Estimates, contracts, invoices, deposits, and payments.
  • Permits, inspections, plans, and approvals.
  • Materials, equipment, change orders, and completion.
  • Employees, subcontractors, suppliers, and insurance.
  • Customer complaints, warranty work, and resolutions.

Account closure does not eliminate Contractor’s independent recordkeeping or cooperation obligations relating to prior projects.

22. Platform Disclaimers

To the fullest extent permitted by law, the TradeProList Platform and project opportunities are provided on an “as is” and “as available” basis without warranties of any kind.

TradeProList does not guarantee:

  • Approval of a contractor application.
  • Any number, type, frequency, location, value, or quality of project opportunities.
  • Customer accuracy, responsiveness, creditworthiness, or willingness to hire.
  • That an opportunity will result in an appointment, estimate, sale, payment, or completed project.
  • The accuracy of project descriptions, budgets, photos, schedules, measurements, or property conditions.
  • That the Platform will operate without interruption, delay, error, or security incident.
  • That another user will comply with law or contractual obligations.

Contractor assumes the business risk of evaluating and pursuing each opportunity.

23. Limitation of Liability

To the fullest extent permitted by law, TradeProList and its owners, officers, employees, affiliates, licensors, service providers, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profit, lost revenue, lost business, lost opportunity, lost data, loss of goodwill, or the cost of substitute services.

TradeProList will not be liable for claims arising from or related to:

  • A customer, property, project, site condition, or project description.
  • Contractor’s estimate, contract, deposit, billing, work, warranty, or collection activity.
  • Acts or omissions of employees, subcontractors, suppliers, customers, or other third parties.
  • Property damage, personal injury, construction defects, delays, liens, code violations, or permit issues.
  • A rejected, declined, lost, cancelled, or unsuccessful opportunity.

To the fullest extent permitted by law, TradeProList’s total aggregate liability arising from or related to the contractor relationship will not exceed the greater of:

  1. The amount Contractor paid directly to TradeProList during the 12 months preceding the event giving rise to the claim; or
  2. One hundred dollars ($100).

These limitations do not apply to liability that cannot lawfully be excluded or limited.

24. Contractor Indemnification

To the fullest extent permitted by law, Contractor agrees to defend, indemnify, and hold harmless TradeProList and its owners, officers, employees, affiliates, licensors, service providers, and representatives from claims, damages, losses, judgments, liabilities, penalties, costs, and reasonable attorneys’ fees arising from or related to:

  • Contractor’s business, services, advertising, estimates, contracts, billing, or work.
  • Acts or omissions of Contractor’s owners, employees, agents, subcontractors, or suppliers.
  • Personal injury, death, property damage, defects, delays, liens, warranty claims, or code violations.
  • Contractor’s violation of law, licensing requirements, insurance obligations, or these Contractor Terms.
  • Contractor’s misuse or unauthorized disclosure of customer information.
  • Contractor’s infringement or violation of another person’s rights.
  • Taxes, wages, benefits, insurance, or employment claims involving Contractor personnel.

TradeProList may control the defense of a covered claim, and Contractor agrees to provide reasonable cooperation. Contractor may not settle a claim that imposes liability or obligations on TradeProList without written consent.

25. Dispute Resolution and Governing Law

Informal dispute notice

Before filing a legal claim against TradeProList, Contractor agrees to send written notice describing the dispute, relevant account or project information, the requested resolution, and Contractor’s contact information.

The parties will attempt in good faith to resolve the dispute informally for at least 30 days after receipt of the notice.

Governing law

These Contractor Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, except where applicable law requires otherwise.

Venue

Unless applicable law requires otherwise, legal actions involving TradeProList must be filed in a state or federal court having jurisdiction in Lee County, Florida, and the parties consent to the jurisdiction of those courts.

Customer and project disputes Disputes concerning Contractor’s estimate, contract, deposit, billing, payment, lien, work, warranty, employee, subcontractor, injury, property damage, or project performance remain the responsibility of Contractor and the affected customer or third party.

26. Changes to Contractor Terms

TradeProList may update these Contractor Terms as the Platform, contractor program, pricing, technology, service areas, matching process, or legal requirements evolve.

Updated terms will be posted with a revised “Last Updated” date. Material changes may also be communicated by email, contractor-portal notice, website banner, or another reasonable method.

Continuing to use contractor features after updated terms take effect constitutes acceptance of those terms to the extent permitted by law.

27. General Provisions

Entire agreement

These Contractor Terms, the general Terms of Service, Privacy Policy, applicable payment terms, and incorporated written agreements constitute the agreement governing Contractor’s participation.

Severability

If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective.

No waiver

Failure to enforce a provision does not waive the right to enforce it later.

Assignment

Contractor may not assign or transfer its account, agreement, rights, or obligations without TradeProList’s written consent.

TradeProList may assign these Contractor Terms in connection with a merger, acquisition, financing, reorganization, asset transfer, or business succession.

Force majeure

TradeProList is not responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, severe weather, utility failures, telecommunications outages, cyberattacks, governmental actions, public emergencies, labor disputes, or third-party service failures.

Survival

Provisions relating to payments, customer information, records, intellectual property, disclaimers, liability, indemnification, disputes, and other provisions that logically should survive remain effective after account closure or termination.

Contractors may contact TradeProList with questions about these terms, account eligibility, billing, project opportunities, or formal dispute notices.

Contractor Support and Legal Contact

Include the business name, account email, contractor or license number when applicable, and a clear description of the request.
