1. Acceptance of These Terms

If you are using TradeProList on behalf of a company, organization, property owner, or other legal entity, you represent that you have authority to bind that entity to these Terms.
If you do not agree to these Terms, do not access or use the Platform.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use TradeProList.
Contractors must be legally authorized to operate their businesses and perform the services they offer in each applicable jurisdiction.
You may not use the Platform if you have previously been suspended or removed unless TradeProList provides written permission to return.
3. TradeProList’s Role
TradeProList provides technology and administrative services intended to help customers submit project requests and connect with independent contractors.
TradeProList is not an employer, general contractor, construction manager, joint venturer, partner, agent, or representative of any independent contractor using the Platform.
4. Homeowner and Customer Responsibilities
Customers using TradeProList agree to:
- Provide accurate and reasonably complete project information.
- Provide contact information they are authorized to use.
- Submit only genuine projects or service inquiries.
- Disclose known conditions that may affect safety, access, pricing, or project performance.
- Provide lawful access to the property when arranging an appointment.
- Review all estimates, contracts, credentials, warranties, and payment terms before hiring a contractor.
- Verify that the contractor is suitable for the specific work and location.
- Communicate respectfully and act in good faith.
Customers are responsible for obtaining the permission of the property owner, landlord, homeowners’ association, or other authorized party when required.
Submitting a project does not obligate a customer to hire a contractor unless the customer separately enters into an agreement with that contractor.
5. Contractor Responsibilities
Contractors using TradeProList agree to:
- Provide truthful and current business information.
- Maintain every license, registration, permit, certification, and insurance policy required for their services.
- Accept only projects they are legally qualified and reasonably able to perform.
- Comply with applicable building codes, safety requirements, labor laws, permitting rules, and professional standards.
- Provide customers with clear estimates, terms, disclosures, and contracts.
- Protect customer information and use it only for legitimate project-related purposes.
- Communicate professionally and avoid deceptive, abusive, discriminatory, or high-pressure conduct.
- Promptly update TradeProList regarding material changes to licensing, insurance, ownership, service areas, or eligibility.
- Honor any commitments made directly to a customer.
Contractors are solely responsible for their employees, subcontractors, equipment, vehicles, taxes, payroll, insurance, safety programs, supervision, workmanship, and business operations.
A contractor may not represent that TradeProList employs, endorses, guarantees, licenses, supervises, or controls the contractor.
6. Accounts and Security
Certain Platform features may require an account. You agree to provide accurate registration information and keep it current.
You are responsible for:
- Maintaining the confidentiality of your login credentials.
- Using a strong, unique password.
- Restricting access to your account and devices.
- All activity occurring through your account unless caused directly by TradeProList.
- Promptly notifying us of suspected unauthorized access.
TradeProList may require password resets, identity verification, multifactor authentication, or additional security steps when reasonably necessary.
You may not transfer, sell, rent, or share an account without our written permission.
7. Project Submissions
A project submission is a request for assistance locating a potential independent contractor. It is not a binding construction contract, guaranteed estimate, purchase order, emergency-service request, or promise that work will be performed.
TradeProList may review, edit for formatting, classify, request clarification about, decline, pause, close, or remove a project submission.
Project descriptions, budgets, measurements, photos, and schedules supplied through the Platform are preliminary information. Contractors must independently evaluate the property and scope before relying on that information.
8. Contractor Matching
TradeProList may consider factors such as:
- Project type and requested services.
- Property location and contractor service area.
- Contractor availability and capacity.
- Licensing, insurance, credentials, and account status.
- Project timing, budget, preferences, and stated requirements.
- Contractor experience, responsiveness, or platform history.
- Operational and quality-control considerations.
Matching methods may be automated, manual, or a combination of both. TradeProList may modify its matching process as the Platform evolves.
TradeProList may initially offer a project to one contractor at a time. However, if a contractor declines, fails to respond, becomes unavailable, or the connection does not proceed, TradeProList may consider or contact another contractor.
9. Independent Contractor Relationship
Contractors on TradeProList are independent businesses. They are not employees, agents, franchisees, partners, or representatives of TradeProList.
TradeProList does not control the contractor’s:
- Work methods or means of performance.
- Pricing, estimates, markups, or payment schedules.
- Employees, subcontractors, or suppliers.
- Hours, scheduling, routes, tools, or equipment.
- Permitting, inspections, code compliance, or safety practices.
- Warranties, guarantees, change orders, or customer agreements.
Each contractor is independently responsible for determining how to evaluate, price, schedule, staff, permit, perform, and warranty its work.
10. Estimates, Contracts, Payments, and Work
Any estimate, proposal, contract, invoice, financing agreement, deposit, warranty, change order, or service agreement is between the customer and the independent contractor unless TradeProList expressly signs a separate written agreement stating otherwise.
Customers should carefully review:
- The full scope of work.
- Materials, equipment, brands, and specifications.
- Project price and payment schedule.
- Deposit and cancellation provisions.
- Estimated start and completion dates.
- Permit and inspection responsibilities.
- Warranty and callback terms.
- Change-order procedures.
- Cleanup, disposal, access, and restoration obligations.
TradeProList is not responsible for collecting contractor deposits, supervising work, approving change orders, resolving workmanship disputes, enforcing warranties, or making payments unless a specific Platform feature expressly states otherwise.
11. Licensing, Insurance, and Verification
TradeProList may collect, review, or display information concerning a contractor’s license, insurance, registration, business status, certifications, or other qualifications.
Any review or verification reflects information available at a particular time and may be incomplete, delayed, inaccurate, expired, suspended, revoked, or changed after review.
Customers remain responsible for independently confirming the contractor’s current qualifications for the specific location and scope before entering into an agreement.
Contractors authorize TradeProList to contact licensing agencies, insurers, references, business databases, and verification providers where reasonably necessary to administer the Platform.
12. Platform Fees, Subscriptions, and Payments
TradeProList may offer free and paid Platform features. Paid contractor features may include subscriptions, membership plans, project opportunities, account tools, advertising, priority features, or other services.
Pricing, billing frequency, included features, renewal terms, and any applicable refund policy will be presented at the time of purchase or in a separate contractor agreement.
By purchasing a paid service, you authorize TradeProList and its payment processor to charge the payment method provided for the disclosed amount and billing schedule.
Recurring services may automatically renew until canceled according to the cancellation instructions displayed at purchase or within the contractor account.
Unless otherwise stated in writing or required by law, Platform fees are nonrefundable once the applicable service, billing period, account access, or project opportunity has been provided.
TradeProList may change future pricing after providing reasonable notice. A price change will not retroactively alter charges already paid.
13. Electronic Communications
By providing an email address or telephone number, you authorize TradeProList to send service-related communications concerning:
- Project submission and status.
- Contractor matching and contact.
- Account registration and security.
- Password resets and authentication.
- Contractor applications and qualification requests.
- Billing, subscription, support, and policy updates.
Communications may be delivered by email, telephone, text message, account notification, or another method you provide. Message and data rates may apply.
Marketing emails or promotional text messages will be sent only where permitted and, when required, based on separate consent. Marketing consent is not a condition of purchasing contractor services.
You may opt out of marketing communications using the unsubscribe instructions provided. You may continue to receive transactional, safety, security, account, or project-related messages.
14. User Content
“User Content” includes project descriptions, photographs, videos, documents, reviews, messages, business information, logos, profile materials, and other content submitted through the Platform.
You retain ownership of your User Content. By submitting it, you grant TradeProList a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, transmit, display, and share the content as reasonably necessary to:
- Operate and secure the Platform.
- Process and evaluate project requests.
- Connect customers and contractors.
- Provide support and maintain business records.
- Investigate misuse, complaints, or legal claims.
- Improve Platform functionality using aggregated or deidentified information.
TradeProList will not use private project photos or identifying customer materials in public advertising without additional permission, except when legally permitted or when the content has been lawfully deidentified.
You represent that you own or have permission to submit the User Content and that its use as described in these Terms will not violate another person’s rights.
15. Reviews, Ratings, and Feedback
Users may provide honest reviews, feedback, complaints, ratings, or opinions based on their actual experiences. TradeProList does not prohibit or penalize lawful and honest consumer reviews.
Reviews and feedback must not contain:
- Knowingly false statements or impersonation.
- Threats, harassment, discrimination, or unlawful content.
- Private financial, medical, identity, or account information.
- Content unrelated to a genuine experience.
- Spam, advertisements, or undisclosed paid endorsements.
- Content that violates intellectual-property or privacy rights.
TradeProList may moderate, investigate, decline to publish, redact, or remove content that violates these Terms or applicable law. We are not required to resolve every factual dispute between users.
Suggestions and general feedback about the Platform may be used without compensation or obligation, provided we do not publicly identify you without permission.
16. Prohibited Conduct
You may not use TradeProList to engage in any unlawful, fraudulent, abusive, dangerous, or disruptive activity.
17. TradeProList Intellectual Property
The Platform and its software, code, databases, matching processes, designs, graphics, branding, logos, text, layouts, and original content are owned by or licensed to TradeProList and are protected by applicable intellectual-property laws.
Subject to these Terms, TradeProList grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Platform for its intended purpose.
You may not:
- Copy or republish substantial portions of the Platform.
- Reverse engineer, decompile, or attempt to extract source code.
- Create a competing database using Platform information.
- Use TradeProList branding without written permission.
- Remove copyright, trademark, or proprietary notices.
- Sell, sublicense, or commercially exploit Platform access except as authorized.
18. Third-Party Websites and Services
TradeProList may integrate with or link to payment processors, maps, email providers, scheduling tools, licensing databases, social-media platforms, contractor websites, analytics services, or other third parties.
Third-party services operate under their own agreements and privacy practices. TradeProList does not control and is not responsible for their availability, security, content, products, services, or conduct.
A link, integration, or reference does not necessarily constitute an endorsement.
19. Disclaimers
To the fullest extent permitted by applicable law, the Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise.
TradeProList disclaims warranties concerning merchantability, fitness for a particular purpose, noninfringement, accuracy, availability, security, and uninterrupted operation to the extent legally permitted.
TradeProList does not warrant or guarantee:
- That any project will receive a contractor match.
- That any contractor will respond or remain available.
- The accuracy of information supplied by another user.
- A contractor’s qualifications, conduct, pricing, safety, or workmanship.
- The legality, quality, timeliness, completion, or outcome of any project.
- That estimates will match final project costs.
- That the Platform will be uninterrupted or error-free.
- That every defect, outage, or security issue will be prevented.
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these disclaimers apply only to the extent permitted by law.
20. Limitation of Liability
To the fullest extent permitted by law, TradeProList and its owners, officers, employees, affiliates, licensors, service providers, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, property damage, personal injury, or the cost of substitute services arising from or related to the Platform, a contractor connection, or work performed by an independent contractor.
This limitation applies regardless of the legal theory asserted and even if TradeProList was advised that such damages were possible.
To the fullest extent permitted by law, TradeProList’s total aggregate liability arising from or related to the Platform will not exceed the greater of:
- The amount you paid directly to TradeProList during the 12 months before the event giving rise to the claim; or
- One hundred dollars ($100).
These limitations do not apply to liability that cannot lawfully be excluded or limited.
21. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless TradeProList and its owners, officers, employees, affiliates, licensors, service providers, and representatives from claims, damages, judgments, losses, liabilities, penalties, costs, and reasonable attorneys’ fees arising from or related to:
- Your violation of these Terms.
- Your misuse of the Platform.
- Your User Content.
- Your violation of another person’s rights.
- Your violation of applicable law.
- For contractors, services you offer, perform, supervise, subcontract, warrant, or invoice.
- For customers, property access, project instructions, or information you provide.
TradeProList may control the defense of a covered claim, and you agree to provide reasonable cooperation. You may not settle a claim imposing liability or obligations on TradeProList without our written consent.
22. Suspension and Termination
TradeProList may restrict, suspend, or terminate access to the Platform when reasonably necessary to:
- Enforce these Terms or other Platform policies.
- Protect customers, contractors, TradeProList, or the public.
- Investigate suspected fraud, abuse, safety issues, or unlawful conduct.
- Respond to licensing, insurance, qualification, or payment concerns.
- Protect Platform security or technical operations.
- Comply with legal or regulatory obligations.
- Discontinue or modify a service.
When appropriate, TradeProList may provide notice or an opportunity to respond, but immediate action may be taken when necessary for safety, security, fraud prevention, or legal compliance.
You may stop using TradeProList at any time. Account closure does not eliminate outstanding payment obligations, contractor obligations, customer agreements, or provisions that by their nature should survive termination.
23. Dispute Resolution and Governing Law
Informal resolution
Before filing a claim against TradeProList, you agree to send a written notice describing the dispute, the relevant account or project, the requested resolution, and your contact information.
The parties agree to make a good-faith effort to resolve the matter informally for at least 30 days after the notice is received.
Governing law
These Terms and disputes between you and TradeProList are governed by the laws of the State of Florida, without regard to conflict-of-law rules, except where applicable law requires otherwise.
Venue
Unless applicable law provides otherwise, any legal action against TradeProList must be brought in a state or federal court having jurisdiction in [INSERT COUNTY], Florida, and the parties consent to the personal jurisdiction of those courts.
24. Changes to These Terms
TradeProList may update these Terms as the Platform, business model, services, technology, service areas, or legal requirements evolve.
Updated Terms will be posted on this page with a revised “Last Updated” date. When changes are material, we may provide additional notice through email, account notification, a website banner, or another reasonable method.
Changes apply prospectively from their effective date. Continuing to use the Platform after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
25. General Provisions
Entire agreement
These Terms, the Privacy Policy, any applicable payment terms, and any additional agreement expressly incorporated by reference constitute the entire agreement concerning your use of the Platform.
Order of priority
If a separate written agreement signed by TradeProList conflicts with these Terms, the separate agreement will control only with respect to the subject matter it specifically addresses.
Severability
If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect.
No waiver
Failure to enforce a provision does not waive the right to enforce it later.
Assignment
You may not assign or transfer your rights or obligations under these Terms without written consent. TradeProList may assign these Terms in connection with a merger, acquisition, financing, reorganization, asset transfer, or business succession.
Force majeure
TradeProList is not responsible for delay or failure caused by events beyond its reasonable control, including severe weather, natural disasters, utility failures, telecommunications outages, cyberattacks, labor disputes, governmental actions, public emergencies, or service provider failures.
Headings
Section headings are provided for convenience and do not limit the meaning of these Terms.
Survival
Provisions concerning payments, intellectual property, disclaimers, liability, indemnification, disputes, and other provisions that logically should survive will remain effective after account closure or termination.
